Brief Job Overview
The Associate Counsel Legal will be part of USP’s Global Legal Affairs (GLA) team and will functionally report to Deputy General Counsel & Assistant Vice President. Administratively, the incumbent will report to Sr Director – Operations, Legal & CS of the organization.
This position will be a hands-on position to manage day to day activities pertaining to transactional legal support and global privacy work of USP. In addition, the job includes contract review, drafting & management, legal research, and supporting the legal team with any other ancillary work as may come up from time to time. The incumbent will be part of USP’s Global Legal Affairs (GLA) team. USP’s contract management function is a central contract and risk management function and provides specialized legal advice on contracts related to USP’s products and services globally. In this role the incumbent will be responsible for carrying out formal legal review and risk analysis of transactional contracts and provide advice to the stakeholders as per USP’s Contracting SOP’s and collaborate with the stakeholders in their decision-making process. The incumbent will ensure that contracts are aligned with the strategic needs of each stakeholder as well as the organizations overall strategy and goals.
In addition to global transactional Contracts Management, the incumbent will act as the Global Privacy Counsel and assist the Deputy General Counsel to support the ongoing delivery and maintenance of USP’s privacy framework across the USP entities.

Global Legal Affairs, Transactional Legal Support
Review, analyze business transaction proposed by stakeholders with respect to governing documents, statutes/case law, contracts, insurance, and other operational aspects in order to advise, counsel and provide legal representation to stakeholders with respect to such transactions.
Drafts documents, contracts, letter of intents and such to provide legal solutions to stakeholders, including contracts, opinion, documents, licenses relevant for business transactions.
Conduct legal research and formulate issues which are well-founded and provide written and verbal opinions to stakeholders on transactional matters.
Effectively conduct negotiations to resolve matters on behalf of stakeholders.
Global Legal Affairs, Global Privacy
Support the ongoing development, implementation, and documentation of USP’s global privacy policy and framework in accordance with applicable laws and regulations.
Provide subject matter expertise and advice on data protection compliance obligations and privacy matters applicable to USP. Build communication and awareness plans, training to stakeholders at all levels in the organization.
Own the internal privacy risk assessment and process as it applies to USP’s products and services and third parties. Provide legal solutions on technical and organizational procedures required to protect and safeguard USP’s and third parties personal data.
Act as a point of contact for data incidents, support staff and management on all privacy matters and provide timely advice in relation to breach reporting requirements.
Maintain documentation to demonstrate compliance and/or accountability to meet regulatory obligations including but not limited to global and international data protection requirements and laws.
Conduct periodic checks of data protection compliance within USP entities and functions, identifying shortcomings and make recommendations for remediation and risk mitigation.
Maintain ongoing and current knowledge of evolving global data protection and privacy laws.
Any other duties which are within the employee’s skills and abilities whenever reasonably delegated. Support the Deputy General Counsel where required.
Work closely with the Global Legal Affairs and Global Legal Standards team by being part of the Global Legal team and maintain effective collaboration and communication with the team. Support Associate Counsel, India and Sr Director, Operations, Legal & CS on transactional legal and privacy matters pertaining to the India Site.
Who USP is Looking For?
The successful candidate will have a demonstrated understanding of our mission, commitment to excellence through inclusive and equitable behaviors and practices, ability to quickly build credibility with stakeholders, along with the following competencies and experience:
Bachelor’s degree in law degree from a reputed university. Previous global privacy and transactional legal exposure a must.
5-7 years of experience.
Additional Desired Preferences
A.LL.B (Hons) or a Bachelor’s degree in law from a National Law School or a reputed law college;
Prior experience in transactional legal, global privacy and legal drafting and writing.
Detail oriented, good research and analytical skills, legal drafting & writing skills.
