Brief Job Overview

The Director/Associate Director, Legal will be part of USP’s Global Legal Affairs (GLA) team and will functionally report to Dy General Counsel, Global Legal Affairs and Director, Global Compliance & Ethics. Administratively, the incumbent will report to Sr Director – Operations, Legal & CS of the organization. A leadership role where the incumbent will work with various stakeholders to drive legal and corporate legal strategy for the organization. This is a generalist role where the incumbent will work on every practice area such as legal affairs, contracting, litigation, taxation, customs, labour law and many more. The role will require the incumbent to manage the corporate legal, of the organisation. A role where proactiveness is everything. This role is an opportunity to mentor a wonderful, highly collaborative, and diverse team. This position will be a hands-on supervisory position to manage day to day activities of the legal, secretarial and global legal team based out of USP India.

In this role, the incumbent will be required to build relationships with the various stakeholders and team members to support global legal, global compliance and trade compliance activities. Such interactions will include planning and strategy to build and implement a global contracting support, implement the use of legal technology, build a compliance culture and facilitate the adoption of requisite policies, oversee the trade compliance function of the organization and provide day to day legal, compliance and trade compliance advise to stakeholders in India and US.

How will YOU create impact here at USP?

  • Act as the Associate Director, Legal of USP India and work with the Global Legal Affairs, Site Leadership team and other global teams on legal, corporate legal, strategies, goals, risk mitigation and other priorities set in these divisions.

  • Assist Dy General Counsel and the Global Legal Affairs team in managing international corporate legal and entity management aspects.

  • Lead a team of lawyers, compliance specialists, trade compliance specialists and assisting them in navigating day to day issues. Effectively manage their growth in the organization.

  • Act as a liaison between USP’s Counsels and stakeholders for review and management of all corporate legal and compliance matters.

  • Structure legal, compliance and regulatory framework for new business opportunities in collaboration with the stakeholders and offer risk mitigants to ensure statutory and regulatory compliances.

  • Structure, review and finalize transactions which need legal, compliance or trade assessments.

  • Advise Dy General Counsel, Sr Director, Operations, Legal & CS on the disputes that may come up from time to time.

  • Liaising with Compliance, Risk and Quality team for finalizing and roll out of governance policies relating to IT, HR, privacy & data protection and other organizational policies.

  • Being up to date on the relevant laws and collaborate with global internal stakeholders for advising on compliances.

  • Manage and interact with external counsels and ensure minimal dependency on external counsels and strive to manage the legal advice in-house.

  • Assisting global and site affinity groups in their day-to-day legal work.

  • Functioning as part of the wider global legal and compliance team in USP including engaging with global stakeholders and undertaking global projects, initiatives or transactions as may arise.

Who USP is Looking For?

The successful candidate will have a demonstrated understanding of our mission, commitment to excellence through inclusive and equitable behaviors and practices, ability to quickly build credibility with stakeholders, along with the following competencies and experience:

Associate Director

  • Bachelor’s or a master’s degree in law degree from a reputed university. Previous experience as head of legal is a must.

  • Minimum 10 years of experience.

Director

  • Bachelor’s or a master’s degree in law degree from a reputed university. Previous experience as head of legal is a must.

  • Minimum 13 years of experience.

Additional Desired Preferences

  • Member of the Institute of Company Secretaries of India

  • Prior experience as Company Secretary.

  • Prior experience in pharma MNC or any other relevant organization.

  • Prior experience in transactional legal, corporate legal and corporate secretarial work.

  • Detail oriented, good research and analytical skills, legal drafting & writing and leadership skills.
