This is a non-supervisory contract position to assist Counsel & Director Legal with daily activities like contract review, drafting & management, archival, record retention, legal research & compliance.

Summary of the Position

Hands-on, non-supervisory position to assist Counsel & Director- Legal & Compliance to manage day to day activities including contract review, drafting & management, archival, record retention, legal research, compliance with State and Central regulations, Corporate and Secretarial work, database management, corporate record keeping and supporting the legal team with any other ancillary work as may come up from time to time. This role will be functionally reporting to Counsel and have administrative reporting to the Director Legal & Compliance.

Roles and Responsibilities

Contract Management;

  • Assist in review, drafting and negotiation of contracts for regional and global sites;

  • Maintain Contract Databases, monitor contract lifecycle, ensure required records are maintained in an orderly and accessible manner

  • Develop standard agreement templates for USP as and when required;

  • Assist the Legal Counsel in implementing a contract management system at site and regional offices. Interact with Global teams for problem solving, training and other system related requirements;

  • Assist in developing and implementing a contract’s SOP for site;

  • Any other contractual or legal work as may be assigned from time to time;

Support Global Legal Affairs ;

  • Support Global Legal Affairs in entity record management;

  • Provide support in respect of Global Copyrights and Trademark management;

  • Any other activity that may be identified from time to time;

Company Law & Secretarial matters ;

Assist Company Secretary in the following areas;

  • Preparation of board and shareholder meeting minutes & statutory registers;

  • Preparation and maintenance of secretarial records and bookkeeping;

  • Review and manage compliance of corporate laws applicable to the Company;

  • Preparation of general meeting records;

  • Prepare, file MCA returns on behalf of the organization;

Required Skills

Preferred Qualifications

  • B.A.LL.B (Hons) or a Bachelor’s degree in law from a National Law School or a reputed law college;

  • Detail oriented

  • Good research and drafting skills

  • Good Analytical skills

Required Experience

Basic Qualifications

B.A.LL.B (Hons) or a Bachelor’s degree in law

1-2 years of experience
